Overview

Homestake Resource Corp. (TSXV:HSR,FWB:B6IH) is a Canadian-based exploration company focused on identifying, exploring and developing gold and silver properties in British Columbia. The Company’s major asset is the 100% owned 2,585ha Homestake Ridge project located in one of BC’s most prolific mineral districts (northwest BC).

Recently, the Company substantially added to its land position in the area by acquiring the Kinscuch Project, which is a 59,600ha package of land contiguous to the Homestake Ridge Project.

Homestake Ridge Project – British Columbia, Canada

Homestake Ridge is an advanced gold, silver, and base metal project located in the Skeena Mining Division of northwestern British Columbia within a highly productive precious metal belt. To date this historic mining district has produced over seven million oz of gold, 220 million oz of silver and three billion lbs of copper.

Since 2003, Homestake Resource Corporation has completed 66,283 meters in exploration and delineation drilling on the property. In 2011, the company reported an updated mineral resource estimate, (NI43-101 compliant) of 191,000oz gold and 1,350,000oz silver indicated plus 530,000oz gold and 13,470,000oz silver inferred at a 3.0 g/t AuEq. cut-off in two separate deposits (1).

Exploration in 2011 expanded mineralization in the Homestake Silver Deposit as well as identified a new zone of high grade gold mineralization at the South Reef Zone, and will be the basis for the upcoming 2012 Exploration Program.

Exploration in 2011 focused on the 2.5km long Illiance River Trend which returned high-grade silver polymetallic mineralization in both surface sampling and drill core.

Kinskuch Project – British Columbia, Canada

The recent acquisition of the 59,600ha Kinskuch Project, which is contiguous to the Homestake Ridge Project, greatly enhances the company’s land position within this largely underexplored region of northwestern British Columbia. This project contains several highly prospective exploration and drill ready targets within similar stratigraphy to the Homestake Ridge Project. Homestake Resource Corporation plans to target some of these with an aggressive geophysical, surface exploration and drilling program in 2012.

Management

Joseph A. Kizis, Jr., P.Geo – President & Director
Mr. Kizis is a past president of the Geological Society of Nevada and a graduate of the University of Colorado. Mr. Kizis has 30 years of experience in minerals exploration, both with major mining companies and with junior explorers.

Lawrence Page, B.A., LL.B., Q.C. – Chairman & Director
Mr. Page obtained his law degree from the University of British Columbia and has practiced in the areas of natural resource law and corporate and securities law to the present date. Through his experience with natural resource companies and, in particular, precious metals development, Mr. Page has established unique relationships in the mining and financial community. Mr. Page has been counsel for public Companies which have discovered and developed producing mines in North America.

Mahesh Liyanag, CA – CFO
Mr. Liyanage joins the Company with over 15 years of experience in public practice and industry. He is a Chartered Accountant and has headed finance and audit teams nationally and internationally. Mr. Liyanage held a supervisory role leading audits in manufacturing, banking, and natural resource industries.

Robert MacDonald, MSc., P.Geo. – VP, Exploration
Mr. MacDonald graduated with a B.Sc. from Memorial University of Newfoundland in 1990 and earned a MSc. from the University of British Columbia in 1999. Mr. Macdonald worked as a geologist with the British Columbia Geological Survey and Teck Exploration on projects in Alaska, Peru and British Columbia.

Terrence E Eyton, F.C.A. – Director & Audit Committee Chair
Mr. Eyton is currently the managing partner of a medium sized accounting firm in Vancouver, British Columbia. His experience ranges from public and private audits to serving as a Board member on public companies. Mr. Eyton graduated first in his class at Lakehead University and second in Canada for his Chartered Accountant designation, and most recently, he completed his Directors Education Program sponsored by the Institute of Corporate Directors.

Scott Hean, B.A., MBA, ICD.D – Director & Audit Committee Member
Mr. Hean held senior management and executive positions with Bank of Montreal as Senior Vice President and Managing Director responsible for financing in the natural resources sectors in North America and with J.P. Morgan of New York, primarily financing junior oil and gas companies in the United States.

Stephen Beardslee, B.Sc., MBA – Director & Audit Committee Member
Mr. Beardslee retired from the U.S. Air Force as an information systems director in 1986, and retired from The Boeing Company as an engineering manager in 2002. He has been involved the mineral exploration on Woewodski Island in Southeast Alaska for more than 20 years.

Declan Costelloe, B.Sc. – Director
Mr. Costelloe is currently President of Celtic Mining Ltd., an independent mining consulting firm. Mr. Costelloe is a chartered engineer (UK Engineering Council) and a mining geologist with over 20 years’ experience. Mr. Costelloe also currently serves as a director of U.S. Gold Corporation (TSX: UXG), Alexandria Minerals Corporation (TSXV: AZX) and VG Gold Corp. (TSX: VG).

Ken Thorsen, BSc. P.Eng.- Director
Mr. Thorsen has 49 years of experience in mining business during which he was involved with the discovery and development of six ore bodies. Most recently he held several senior positions with Teck Exploration and Teck Corporation, as Vice President of Teck Exploration. and General Manager of Teck Exploration worldwide. Subsequent to his retirement as President of Teck Exploration in 2001 Mr. Thorsen serves as a Director of a number of public mining exploration companies.
